Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the website located at mytruenorth.co and any related pages that link to these Terms (collectively, the “Site”) as well as the marketing and editorial content services we provide (“Services”). By accessing or using the Site or engaging us for Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site and do not engage us.
Who We Are
The Site and Services are provided by True North Content, LLC, a Minnesota-based company (“True North Content,” “we,” “us,” or “our”). References to “you” or “Client” mean the person or entity accessing the Site or purchasing the Services.
Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You will not attempt to interfere with the Site’s operation, access the Site using automated means without our permission, scrape or harvest data, reverse engineer the Site or circumvent security features. We may modify or discontinue any part of the Site at any time without notice.
Privacy
Your use of the Site is subject to our Privacy Policy, which explains how we collect, use and share personal information. By using the Site or engaging the Services, you consent to our processing of personal information as described in that policy.
Subcontractors
We may use qualified subcontractors and service providers to perform the Services. We remain responsible for their performance.
Term and Termination
These Terms begin on the Effective Date and continue until terminated. Either party may terminate these Terms or any Order for cause if the other party materially breaches and fails to cure within ten (10) days after written notice, or immediately if the other party becomes insolvent or ceases business. You may terminate for convenience as described above. Upon termination, you will pay all amounts due for Services performed and approved expenses incurred through the effective date, and each party will return or, at the disclosing party’s request, destroy the other party’s confidential information, subject to customary archival backups. Sections intended by their nature to survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification and governing law, will survive termination.
Governing Law and Venue
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota, and each party waives any objection to such courts on grounds of inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Force Majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, labor disputes, supply chain failures, war, terrorism, civil disorder, outages of third‑party hosting or telecommunications, or governmental actions, provided that the affected party uses reasonable efforts to mitigate and resumes performance promptly.
Changes to the Terms
We may update these Terms from time to time. The “Effective Date” above reflects the most recent changes. Changes apply prospectively. If you continue to use the Site or engage the Services after we post updated Terms, you accept the updated Terms.
Miscellaneous
The parties are independent contractors, and these Terms do not create a partnership, joint venture, agency or employment relationship. You may not assign these Terms or any Order without our prior written consent, except to a successor in interest through merger, acquisition or sale of substantially all assets, provided that the assignee assumes these Terms in writing; we may assign these Terms in connection with a corporate transaction. If any provision is found unenforceable, the remaining provisions will remain in full force and effect and will be construed to give effect to the parties’ intent. No waiver of any provision is effective unless in writing and signed, and a failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms, together with any Orders and our Privacy Policy, constitute the entire agreement between you and us regarding the Site and Services and supersede all prior or contemporaneous understandings on that subject. Notices under these Terms must be in writing and will be deemed given when delivered by hand, by reputable overnight courier with tracking or by email to the addresses set out in the Order or, for Site‑only users, to the contact details provided by you.
